Terms of Service
These Terms govern the use of the RightThere website and provide the general framework for enquiries and services provided by RightThere.
RightThere is operated by BigO International LLP and provides independent supplier operations, verification and intervention support in India for overseas buyers.
Specific engagements may also be governed by a proposal, quotation, statement of work, purchase order, engagement letter or other written agreement.
Where an engagement-specific agreement conflicts with these general Terms, the engagement-specific agreement will govern that engagement to the extent of the conflict.

RightThere’s role
RightThere operates on the buyer’s side within an agreed scope.
Services may include:
- Supplier Verification
- First PO Protection
- Supplier Monitoring
- Supplier Rescue / intervention
- Supplier Transition
- Claims-related fact finding and coordination
- factory visits
- operational coordination
- reporting and evidence gathering
The precise services to be performed will be defined before mobilisation.
Scope before mobilisation
Before work begins, RightThere may seek information about the supplier, location, product, purchase order, deadlines, current issue and output required by the buyer.
Where appropriate, RightThere will confirm the scope, expected deliverables, timing and commercial terms before mobilisation.
The scope may need to change if significant new facts are discovered.
Any material extension of work should be agreed with the buyer.
Buyer responsibilities
The buyer is responsible for providing information reasonably necessary for RightThere to understand and perform the agreed scope.
This may include:
- supplier details
- supplier contacts
- purchase orders
- drawings and specifications
- approved samples
- production milestones
- supplier correspondence
- quality information
- authority to communicate with or visit the supplier where required
The buyer remains responsible for its commercial decisions, product requirements and supplier relationship.
Factory access and supplier cooperation
RightThere cannot guarantee access to a privately operated supplier facility.
Factory visits depend on supplier cooperation, site rules, buyer authority, local requirements and circumstances outside RightThere’s direct control.
RightThere will not misrepresent its role or obtain unauthorised access to a supplier facility.
If access is refused, limited or delayed, RightThere will inform the buyer and may recommend alternative evidence, escalation or a revised scope.
Independent observations
RightThere reports observations and information available within the agreed scope and at the relevant time.
A visit, photograph, document review or supplier statement represents evidence available at that point in time.
Production conditions and supplier performance can change after a visit.
No guaranteed outcome
RightThere does not guarantee:
- supplier performance
- production recovery
- shipment on a particular date
- refund or payment recovery
- release of tooling or other assets
- elimination of defects
- resolution of a commercial dispute
- successful performance of a replacement supplier
RightThere’s role is to improve visibility, establish facts, support action ownership and assist the buyer in making informed decisions.
Not legal representation or debt collection
RightThere does not provide legal advice, legal representation or regulated debt-collection services.
Where an engagement concerns claims, disputed amounts, tooling, materials or other commercial matters, RightThere may support:
- factual verification
- evidence documentation
- communication
- supplier-side coordination
- physical asset verification
- operational handover
The buyer retains responsibility for settlement decisions, legal strategy and formal remedies.
Independent legal advice should be obtained where required.
Specialist inspection and testing
RightThere’s operational verification does not automatically replace specialist:
- product inspection
- laboratory testing
- certification
- regulatory assessment
- engineering approval
- other specialist technical services
Where specialist work is required, the buyer may need to engage a suitably qualified third party.
RightThere may coordinate with such specialists where agreed within the engagement scope.
Reports and deliverables
Depending on the engagement, deliverables may include:
- visit summaries
- photographs
- verification checklists
- status reports
- milestone reports
- action trackers
- evidence records
- other agreed outputs
Reports are prepared for the commissioning buyer and for the purpose described in the agreed engagement.
They should not be treated as guarantees, certificates or professional opinions outside their stated scope.
Confidentiality
RightThere recognises that buyer and supplier engagements may involve sensitive commercial information.
Confidentiality arrangements or NDAs may be agreed where required.
Each party is expected to protect confidential information received from the other and use it only for the purpose for which it was provided, subject to applicable legal requirements.
Independence and conflicts
RightThere provides buyer-side support within the agreed engagement.
Any known relationship that could materially affect RightThere’s independence should be disclosed before accepting the engagement.
Fees and engagement models
RightThere engagements may be structured as:
- a defined factory visit
- milestone-based monitoring
- project-based engagement
- supplier intervention
- ongoing monitoring
- another mutually agreed commercial arrangement
Pricing may depend on:
- supplier location
- travel
- urgency
- duration
- number of visits
- complexity
- reporting requirements
Fees, currency, taxes, expenses and payment terms will be stated in the relevant quotation or engagement agreement.
Travel and external costs
Where travel, accommodation, local transport, specialist services or other external costs are required, their treatment will be agreed as part of the engagement.
External costs should not be assumed to be included unless expressly stated.
Changes, delays and cancellation
A factory visit or engagement may need to be rescheduled because of supplier access, buyer instructions, travel disruption, public holidays, safety concerns, force majeure or other circumstances outside RightThere’s reasonable control.
Cancellation, rescheduling and committed-cost implications will be handled according to the relevant quotation or engagement terms.
Safety and lawful conduct
RightThere personnel will not knowingly undertake unsafe, unlawful, deceptive or unauthorised activity.
RightThere may suspend or decline an activity where circumstances create unreasonable safety, legal, ethical or reputational risk.
Buyer decisions
RightThere may provide facts, observations, operational options and recommendations.
Final decisions concerning:
- purchase orders
- payments
- shipment acceptance
- supplier continuation
- supplier replacement
- commercial claims
- settlements
- litigation
- other commercial actions
remain with the buyer.
Third parties
Some engagements may involve suppliers, subcontractors, logistics providers, laboratories, inspection companies, professional advisers or other third parties.
Unless expressly agreed otherwise, such parties operate independently of RightThere.
RightThere is not responsible for their acts, omissions or performance.
Website information
The RightThere website provides general information about the business and its services.
Website content does not constitute:
- a binding offer
- guarantee
- legal advice
- technical certification
- promise of a particular outcome
Specific obligations arise only through an agreed engagement.
Intellectual property
Unless otherwise agreed, the RightThere website, branding, original written material, templates and general methodologies remain the intellectual property of their respective owner.
The buyer may use engagement-specific reports and deliverables for its internal business purposes and other agreed purposes.
Third-party materials remain subject to the rights of their respective owners.
Limitation of responsibility
RightThere will perform agreed services with reasonable care based on the information, access and circumstances available.
RightThere cannot be responsible for losses arising from matters outside the agreed scope or reasonable control, including:
- inaccurate or incomplete information supplied by others
- supplier concealment
- supplier refusal of access
- events occurring after an inspection or visit
- third-party actions
- circumstances outside the agreed engagement
Detailed liability limits, exclusions and any applicable liability cap should be defined in the relevant engagement agreement.
Force majeure
RightThere will not be responsible for delays or inability to perform caused by circumstances reasonably beyond its control.
These may include:
- natural events
- transport disruption
- government restrictions
- strikes
- civil disturbance
- supplier closure
- similar exceptional circumstances
Where reasonably possible, RightThere will communicate the impact and discuss practical alternatives with the buyer.
Governing law and dispute resolution
The governing law, jurisdiction and dispute-resolution mechanism applicable to a specific engagement will be stated in the relevant quotation, engagement letter, statement of work or other contractual agreement where required.
Changes to these Terms
RightThere may update these Terms as its services or operating requirements evolve.
The current version will be published on this page together with its Last updated date.
An update to these website Terms will not retrospectively alter a separately agreed engagement unless the applicable engagement agreement provides otherwise.
